1. Limitation of Liability

End User License Agreement (EULA) for Music Production Software PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING THE MUSIC PRODUCTION SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE. License Grant: This EULA grants you a limited, non-exclusive, non-transferable license to use the music production software ("Software") solely for your personal or commercial music production purposes in accordance with the terms and conditions herein. Ownership: The Software is licensed, not sold, to you by [Software Company Name] ("Company"). Company retains all right, title, and interest in and to the Software, including all intellectual property rights therein. Restrictions: You may not: (a) modify, adapt, alter, translate, or create derivative works of the Software; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software; (c) remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from the Software; (d) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party; (e) use the Software for any unlawful purpose or in violation of any applicable laws or regulations; (f) use the Software to infringe upon any intellectual property rights of others; (g) use the Software to create music that is defamatory, obscene, or otherwise objectionable; (h) use the Software in any manner that could damage, disable, overburden, or impair the functionality of the Software or interfere with any third party's use of the Software. Support and Updates: Company may provide updates, upgrades, or support services for the Software at its sole discretion. This EULA does not obligate Company to provide any updates, upgrades, or support services. Termination: This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Company if you fail to comply with any term(s) of this EULA. Upon termination of this EULA, you must cease all use of the Software and destroy all copies of the Software in your possession or control. Disclaimer of Warranties: THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL COMPANY'S AGGREGATE LIABILITY TO YOU UNDER THIS EULA EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. Governing Law: This EULA shall be governed by and construed in accordance with the laws of [Jurisdiction], without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this EULA.
